经国务院同意，国家发展改革委、财政部、自然资源部、商务部、中国人民银行、税务总局、国家外汇局日前联合印发《关于实施鼓励外商投资企业境内再投资若干措施的通知》（以下简称《通知》），旨在深化外商投资促进体制机制改革，更大力度吸引和利用外资，促进外商投资企业境内再投资。
Approved by the State Council, the National Development and Reform Commission (NDRC), Ministry of Finance (MOF), Ministry of Natural Resources (MNR), Ministry of Commerce (MOFCOM), People’s Bank of China (PBOC), State Taxation Administration (STA), and State Administration of Foreign Exchange (SAFE) have jointly issued the Notice on Implementing Several Measures to Encourage Reinvestment by Foreign-Invested Enterprises in China (hereinafter referred to as the "Notice"). This aims to deepen institutional reforms for promoting foreign investment, enhance efforts to attract and utilize foreign capital, and facilitate reinvestment by foreign-invested enterprises within China.

各省、自治区、直辖市及计划单列市人民政府，新疆生产建设兵团：
To the People's Governments of All Provinces, Autonomous Regions, Municipalities Directly under the Central Government, Cities Separately Listed on the State Plan, and Xinjiang Production and Construction Corps:
为贯彻落实党中央和国务院决策部署，更大力度吸引和利用外资，鼓励外商投资企业境内再投资，经国务院同意，现就实施若干政策措施通知如下。
To implement the decisions and arrangements of the CPC Central Committee and the State Council, intensify efforts to attract and utilize foreign capital, and encourage reinvestment by foreign-invested enterprises within China, the following policy measures are hereby notified upon approval by the State Council:
一、本通知所列措施适用以下情形：在中国境内依法设立的外商投资企业运用未分配利润，或者境外投资者以境内合法分得的本外币利润，在中国境内投资新设企业、增资现有企业或取得中国境内企业的股份、股权、财产份额或其他类似权益的行为，以及在中国境内投资项目的行为。
1.The measures listed in this notice apply to the following circumstances: The use of undistributed profits by foreign-invested enterprises lawfully established within the territory of China, or the investment by overseas investors with the domestic and foreign currency profits lawfully obtained within the territory of China to newly establish enterprises, increase capital of existing enterprises, or acquire shares, equities, property shares or other similar rights and interests of enterprises within the territory of China, as well as the act of investing in projects within the territory of China.
二、各地根据实际情况建立外商投资企业境内再投资项目库，做好项目服务保障工作。符合条件的外商投资企业境内再投资项目可纳入重大和重点外资项目清单，并享受相应支持政策。
2.localities shall establish a project database for domestic reinvestment projects of foreign-invested enterprises according to the actual situation, and do a good job in project service and guarantee. Domestic reinvestment projects of foreign-invested enterprises that meet the requirements can be included in the list of major and key foreign investment projects and enjoy corresponding support policies.
三、支持外商投资企业在境内再投资时，灵活采用工业用地长期租赁、先租后让、弹性年期出让等方式，降低初期用地成本，具体方式按照现行鼓励支持政策执行。
3.When supporting foreign-invested enterprises to reinvest within China, flexible methods such as long-term lease of industrial land, lease before transfer, and transfer with flexible years of use can be adopted to reduce the initial land use cost. The specific methods shall be implemented in accordance with the current incentive and support policies.
四、外商投资企业以全资方式在境内新设立的法人企业，申请办理其母公司已经获得的行业准入许可，对于符合基本条件的，行业主管部门可依法优化简化办理流程、缩短办理时间。
4.For a legal person enterprise newly established in China by a foreign-invested enterprise in a wholly-owned manner to apply for the industry access permission already obtained by its parent company, if it meets the basic conditions, the industry competent department may optimize and simplify the handling procedures and shorten the handling time in accordance with the law.
五、依法实施并落实相关税收支持政策，鼓励境外投资者在华再投资，促进形成更多有效投资。
5.Implement and enforce relevant tax support policies in accordance with the law, encourage overseas investors to reinvest in China, and promote the formation of more effective investments.
六、外商投资企业在中国境内再投资企业所投资的项目，符合《鼓励外商投资产业目录》的，享受进口设备有关支持政策。
6.For projects invested by enterprises reinvested in China by foreign-invested enterprises, if they meet the Catalogue of Industries Encouraging Foreign Investment, they can enjoy relevant support policies for imported equipment.
七、外商投资企业以合法产生的外汇利润、境外投资者以境内合法取得的外汇利润开展境内再投资的，相关外汇资金可以按规定境内划转。
7.For foreign-invested enterprises to conduct domestic reinvestment with foreign exchange profits legally generated, and for overseas investors to conduct domestic reinvestment with foreign exchange profits legally obtained within China, the relevant foreign exchange funds can be transferred domestically in accordance with regulations.
八、在符合外商投资准入特别管理措施且境内所投项目真实、合规前提下，外商投资企业以外汇资本金或其结汇所得人民币资金开展境内再投资，被投资企业或股权出让方无需办理接收境内再投资登记手续。
8.For foreign-invested enterprises to conduct domestic reinvestment with foreign exchange profits legally generated, and for overseas investors to conduct domestic reinvestment with foreign exchange profits legally obtained within China, the relevant foreign exchange funds can be transferred domestically in accordance with regulations.
九、对符合条件的外商投资企业境内再投资所需的外方关联股东贷款、“熊猫债”，优化管理流程，纳入“绿色通道”管理。
9. Optimize the management process for loans from foreign affiliated shareholders and "Panda bonds" required for the reinvestment within China by foreign-invested enterprises that meet the requirements, and include them in the "green channel" management.
十、鼓励各类金融机构在依法合规、风险可控前提下创新产品和服务，为外商投资企业境内再投资提供金融服务和支持。
10. Encourage all types of financial institutions to innovate products and services on the premise of compliance with laws and regulations and controllable risks, and provide financial services and support for the reinvestment of foreign-invested enterprises within China.
十一、推动开展外商投资企业境内投资信息报告试点，加强外商投资企业境内再投资的部门间信息共享，为企业享受相关支持政策提供便利。
11. Promote the pilot program for reporting information on domestic investment by foreign-invested enterprises, strengthen the interdepartmental information sharing of domestic reinvestment by foreign-invested enterprises, and facilitate enterprises to enjoy relevant support policies.
十二、进一步优化促进外商投资的评价方式，注重外商投资企业境内再投资对经济社会发展的实际贡献。
12. Further optimize the evaluation method for promoting foreign investment, and focus on the actual contributions of the reinvestment of foreign-invested enterprises within China to economic and social development.
